Charitable Foundation "AdVita" ("The Foundation") is a non-profit
non-governmental organization funded by volunteer donations and contributions and pursuing
the charitable activities for realization of the goals stated below. The headquarters of
"The Foundation" is located in Saint-Petersburg, Russia.
"The Foundation" was established in compliance with the provisions of the
Civil Code of Russian Federation, "Non-Profit Organizations" Federal Law and other
by-laws and legislative regulations of Russian Federation. "The Foundation" is a
judicial person, legal status of which is regulated by the valid laws of Russian
Federation and the Statute of "The Foundation".
Goals and Objectives of "The Foundation".
Improvement and development of health protection in Russian Federation;
Raising status of health education and scientific research;
Supporting establishment of Bone Marrow Transplantation and Gene Therapy Clinic in accordance with international standards for rendering qualified medical aid to patients with hematological, oncological, autoimmune and genetic disorders;
Training of medical personnel for this Clinic;
Elevating quality and scope of medical services to modern standards;
Developing medical care infrastructure;
Providing clinics with modern equipment suitable for probation and clinical use of the most advanced medical techniques;
Developing comprehensive approach to diagnostics and treatment.
Activities of "The Foundation".
Collecting donations for comprehensive treatment and rehabilitation of patients with hematological, oncological, autoimmune and genetic disorders;
Preparing "Bone Marrow Donors Registry" ("The Registry") and promoting ideas of donating in Russian Federation;
Conducting activities aimed at replenishing the "Registry" with potential bone marrow donors;
Mobilizing resources and coordinating activities with other Russian and foreign registries of bone marrow donors;
Conducting awareness-raising and health education activities aimed at attracting patients who need diagnostics and treatment;
Engaging Russian and foreign insurance companies into promotion activities of "The Foundation";
Establishing specialized media and conducting publishing activities;
Interaction with the government authorities;
Representing to the government and local authorities collective interests of the patients with hematological, oncological, autoimmune and genetic disorders and specialized doctors;
Providing comfortable conditions, nutrition and recreation facilities to the patients from other cities and their family members, who arrive in Saint Petersburg for out-patient treatment or for hospitalization, making ticket and hotel bookings for them;
Organizing and conducting conferences, festivals, exhibitions, fairs, lotteries, charitable concerts, auctions and other fund-raising activities enabling "The Foundation" to implement its goals;
Financing building and equipment of the clinical base for patients' treatment;
Financing invention, probation and certification of the new treatment methods and pharmacological substances;
Financing of qualification and professional upgrading of specialized doctors.
To achieve its goals, "The Foundation" has the right:
to obtain credits from Russian and foreign banks,
to take part in governmental, municipal and private international social and humanitarian programmes,
to conclude contracts and other deals,
to render legal, social and other assistance to persons involved in the activities of "The Foundation",
to obtain volunteer contributions from Russian and foreign physical and judicial persons,
to procure independently materials, equipment, technologies, etc.,
to lease property and land plots,
to organize obtaining humanitarian assistance from foreign agencies and private persons,
to establish branch offices on the territory of Russian Federation and abroad.
Property, Finance and Transparency.
Equity of "The Foundation" is formed by:
financial means and material values paid as subscription fees by the Founders, income from selling production, works and services,
bank credits,
capital investments,
budget subsidies,
private contributions,
unrefundable charitable donations from Russian and foreign physical and judicial persons,
other sources in compliance with valid laws.
Financial resources of "The Foundation" are constituted by:
charitable and other donations,
volunteer offerings by enterprises, organizations and citizens,
loans and credits,
profit from income-generating activities represented in monetary or in-kind form in conformity with valid laws.
Accounting procedures and documentation are organized in accordance with the valid Russian laws.
"The Foundation" guarantees transparency and accountability of its financial operations
to its Founders and potential donors.
Founders' Discretion.
The following decisions remain at the exclusive discretion of the Founders:
amendments of and additions to the current Statute,
setting policy and strategic objectives of "The Foundation",
reorganization of "The Foundation",
forming executive organs of "The Foundation" and determining their tenure,
election of the Board's Chairperson and members of the Auditing Commission and discontinuation of their functions,
undertaking auditory check, appointing the auditor and determining his payment scale,
endorsing annual reports and balance statements of "The Foundation",
participation in non-profit organisations and societies,
endorsing internal by-laws of "The Foundation",
determining payment scales for the administrative body "The Foundation".
Board of Trustees.
Board of Trustees is the supervisory organ of "The Foundation" overseeing activities
of "The Foundation" and disbursement of financial means.
Board of Directors.
Board of Directors is a permanent collegial organ of "The Foundation" executing
general management of its organizational activity. It is composed of the Chairperson,
Executive Director, Administrative Director and board members. Founders
of "The Foundation" make a decision regarding formation of the Board and number of its members.
Chairperson:
is appointed by the Founders for two years,
is entrusted with the following responsibilities:
making decisions and issue resolutions obligatory for all members/employees of "The Foundation",
determining incentives and punitive measures for all members/employees in accordance with valid laws and internal by-laws of "The Foundation",
hiring and terminating employees including Executive and Administrative Directors and determining their salary scale,
performing other duties foreseen in the Statute.
Executive Director:
is appointed by the Chairperson's decree;
performs the following duties:
ensures prompt implementation of the Founders' decisions,
manages property and financial means of "The Foundation",
acts on behalf of "The Foundation" without proxy, representing it in its dealings with all organs of governmental authority, enterprises and organizations equally in Russian Federation and abroad,
opens bank accounts, issues proxies including the ones transferring the power of attorney to the third parties,
independently concludes contracts and agreements, makes deals and signs documents on behalf of "The Foundation",
certifies excerpts from minutes of the meetings of "The Foudnation",
organizes accounting and book-keeping procedures in accordance with valid regulations and bears responsibility for their authenticity and timeliness,
performs other acts de jure and de facto necessary to achieve the goals of "The Foundation".
Administrative Director:
is appointed by the Chairperson's decree,
performs the following duties:
submits project proposals and plans foreseen in the Statute to the Founders for approval,
submits implementation reports, including annual financial report not later than three months after the financial year closure and annual balance statement,
makes decisions and issues resolutions regulating internal operations of "The Foundation",
manages and coordinates activities of the administrative departments, branches and offices of "The Foundation".
Chairperson reserves the right of delegating certain functions to Executive and
Administrative Directors during his/her absence.
Auditory Commission (Auditor).
Auditory commission inspects financial activities of "The Foundation", its branches and
offices, assesses compliance of "The Foundation's" activities with its Statute and legality
of the Board's decisions. The commission is appointed for the term of three years. Planned
annual audit checks are undertaken by the commission. The commission submits annual report
not later than one month after the financial year closure.
Reorganization and Liquidation of "The Foundation".
Discontinuation of "The Foundation's" activity may come as a result of "The Foundation's" liquidation or reorganization in a form of merging, adjunction, division or separation. It can be reorganized voluntarily upon the decision of the Founders or upon the court ruling in cases and in order stipulated in the valid laws.
Residual property of "The Foundation" after settlement of the pending debts and payments upon its liquidation should be used for purposes and goals stated in the Statute.
